1. Scope

These terms apply to this website and to any proposal, quote or statement of work we issue. Where a signed agreement or statement of work conflicts with these terms, that document prevails for the engagement it covers.

2. Our services

We provide design, software engineering, infrastructure and technical strategy services. The precise scope, deliverables, timeline and fees for any project are defined in a written proposal or statement of work agreed by both parties. Nothing on this website is a binding offer.

3. Use of the site

• You may browse and use the site for lawful purposes only.
• You may not attempt to gain unauthorised access, disrupt availability, scrape at a scale that degrades service, or reverse engineer any part of it.
• You may not use our name, branding or content to imply an endorsement or a relationship that does not exist.

4. Intellectual property

The site, its code, design and content are owned by Providence Crafts or its licensors and are protected by intellectual property law. Ownership of project deliverables is set out in the applicable statement of work; as a default, rights in the final deliverables transfer to the client on full payment, while we retain ownership of our pre-existing tools, libraries and know-how and grant a licence to use them as embedded in the deliverables.

5. Fees and payment

Fees, currency, milestones and payment terms are those stated in the applicable proposal or statement of work. Unless stated otherwise, invoices are payable within 15 days, prices exclude applicable taxes, and we may suspend work on overdue accounts after giving notice.

6. Client responsibilities

Projects depend on timely access, content, approvals and decisions from the client. Delays in providing them may shift the timeline and, where they cause material additional work, the fees. You confirm that any material you supply to us does not infringe third-party rights.

7. Confidentiality

Each party will keep the other party’s non-public information confidential, use it only for the engagement, and protect it with at least reasonable care. This obligation survives the end of the engagement. We sign a separate NDA on request.

8. Third-party services

Our work may integrate third-party platforms, APIs and open-source components, each governed by its own terms and licences. We are not responsible for the availability, pricing changes or acts of those providers.

9. Warranties and disclaimers

We provide our services with professional skill and care. Except as expressly stated, the website and its content are provided "as is" without warranties of any kind, including fitness for a particular purpose or uninterrupted availability.

10. Limitation of liability

To the extent permitted by law, neither party is liable for indirect or consequential loss, loss of profits, revenue or data. Our total liability arising from an engagement is limited to the fees paid for it in the twelve months preceding the event giving rise to the claim. Nothing here excludes liability that cannot lawfully be excluded, including fraud or wilful misconduct.

11. Term and termination

Either party may terminate an engagement as set out in the applicable statement of work, or immediately on material breach that is not cured within 15 days of notice. On termination, you pay for work performed and accepted expenses incurred up to that date.

12. Governing law

These terms are governed by the laws of the jurisdiction in which Providence Crafts is established, and the courts of that jurisdiction have exclusive competence, without prejudice to any mandatory consumer protection rules that apply to you.

13. Changes to these terms

We may update these terms; the version published on this page at the time you use the site is the one that applies. Material changes affecting an ongoing engagement will be agreed in writing. Questions: hello@providencecrafts.com.
